Terms of Service
PLAYER VECTOR INC. (“Player Vector”, “we”, “us” or “our”) is a corporation incorporated pursuant to the Canada Business Corporations Act. We operate a player evaluation and development software-as-a-service platform for youth sports organizations (the “Platform”), which allows organizations and their coaches to record player evaluations, game and practice notes and development information, and to share coach-approved summaries and notes with each player’s parents or guardians. The Platform is accessible at https://playervector.com, including through organization-specific pages and web addresses. Our public web pages at https://playervector.com that are not part of the Platform are referred to as the “Website”.
Each club, academy or other organization that uses the Platform (an “Organization”) has entered into an enterprise subscription agreement with us (an “Enterprise Agreement”). The Organization decides who may use the Platform for its teams. The Platform is offered only to Organizations located in Canada outside the Province of Quebec.
These terms of service (the “Terms”) form a legally binding agreement between you and Player Vector, and govern your access to and use of (i) the Platform, and (ii) the Website. They apply to every person who uses the Platform or the Website, including:
- owners, administrators, managers and coaches of an Organization who are given an account by it (together, “Staff”, and each a “Staff member”);
- parents, legal guardians of players and other adults whom an Organization has added to the Platform (“Guardians”); and
- visitors to the Website, including people who request a demonstration of the Platform.
THESE TERMS HAVE PROVISIONS WHICH LIMIT OUR LIABILITY AND IMPOSE OBLIGATIONS ON YOU. PLEASE READ THEM CAREFULLY.
By clicking to accept these Terms, or by using the Platform or the Website, you represent and warrant that (i) you are at least eighteen (18) years old, or the age of majority where you live if higher; and (ii) you have read and understand these Terms and agree to be bound by them. Players do not have accounts and are not permitted to sign in to or use the Platform. No individual under the age of eighteen (18) may hold an account or sign-in access to the Platform.
Amendments
As the Platform continues to evolve, we may revise these Terms by posting an updated version on the Website. The date of the latest version is shown above. We will give you at least thirty (30) days’ notice of any material amendment by email to the address associated with your account and/or by a prominent notice on the Platform, and we may ask you to accept the updated Terms when you next sign in. If you do not agree with an amendment, you may stop using the Platform before it takes effect, and in the case of a Guardian you may also ask the Organization to remove your access. Your continued use of the Platform after an amendment takes effect constitutes your acceptance of it.
Privacy
We collect, use and disclose personal information in accordance with our privacy policy, available at https://playervector.com/privacy (the “Privacy Policy”), which is incorporated by reference into these Terms. Where an Organization has added information about a player or a Guardian to the Platform, we handle that information on the Organization’s behalf, as its service provider, and the Organization’s own privacy policy also applies. You represent to us that all information you provide to us is accurate.
About the Platform
The Platform allows an Organization and its coaches to:
- keep rosters of the players on the Organization’s teams (“Players”) and their Guardians;
- record spoken feedback during or after games and practices, which is converted to text, and to type or upload notes;
- rate Players against the Organization’s evaluation criteria and prepare evaluation reports;
- use features powered by artificial intelligence to help draft, summarize or suggest content from coaches’ input, such as notes, parent-friendly versions of notes, evaluation comments, parent and practice summaries and development suggestions, which a coach reviews before they are used (the “AI Features”); and
- share coach-approved notes and summaries with each Player’s Guardians.
The Platform is a tool for recording and communicating coaches’ observations. It does not provide coaching, medical, concussion, safeguarding or child-welfare advice, and it is not a system for reporting injuries, concussions, abuse or other safety concerns. Those matters should be raised directly with the Organization and, where appropriate, the relevant authorities.
Accounts and Sign-In
Staff. Staff accounts are created only by invitation from an Organization (or, for an Organization’s first owner, by us). You sign in using a link or one-time code sent to your email address. Your access, your role and the teams you can see are determined by your Organization, and your Organization may change or end your access at any time.
Guardians. You may sign in to the Platform only if an Organization has added your email address as a Guardian of a Player. You sign in with that email address and a one-time code sent to it. Once signed in, you can see information about your child, and only content that a coach has approved and chosen to share with Guardians. If you are a Guardian of more than one Player, you may switch between them.
While your access to the Platform may be paid for by an Organization, you agree that access to the Platform constitutes good and valuable consideration in exchange for agreeing to these Terms, the Privacy Policy and all other documents incorporated by reference.
Upon your account or sign-in access being established, we grant you a non-transferable, non-sublicensable, revocable licence to access and use the Platform through it, for the purposes described in these Terms. The licence lasts until the earliest of (i) the Organization ending your access or removing your email address; (ii) the termination or expiry of the Organization’s Enterprise Agreement; and (iii) our revoking your licence in accordance with these Terms.
Account Security
Access to your account is personal to you. You agree not to share your sign-in links or codes, or access to the email account used to sign in, with any other person, and not to let any other person use the Platform through your account. Each Guardian should sign in with his or her own email address.
You represent and warrant that the email address used for your account is accurate and under your control, and that you are the only person with access to it. We are entitled to assume that any person using your account is you, and you are responsible for activity on your account. You must immediately notify us at support@playervector.com (and, if you are a Staff member, your Organization) of any unauthorized use of your account.
If you are a Guardian and you believe someone else is receiving information about your child, or that you should not be receiving information about a child, please contact the Organization and us immediately.
While we and our service providers take security measures in relation to the Platform, you acknowledge that the transmission of data over the internet involves networks and devices that we do not own or control, and that there is always some risk of unauthorized access to information in using online services.
Choices for Guardians
When you first sign in, and at any time afterward through the Platform’s settings, you may choose whether the AI Features are used to help draft content about your child. If any Guardian of a Player opts out, or the Organization has recorded an opt-out for the Player, we will exclude the Player from the AI drafting features and use reasonable efforts to remove the Player’s name from transcripts before they are submitted to the AI Features. Only the Guardian who opted a Player out can reverse that choice, and only the Organization can reverse an opt-out it recorded. Because a coach may record a whole practice or game, a transcript prepared for other Players may still refer to your child in a way we cannot reliably detect, such as a misspelled name or a description. Coaches’ voice recordings will still be converted to text by our speech-to-text provider, so that coaches can review their own feedback.
Information about your child is added to the Platform by the Organization. If you believe information about your child is inaccurate or inappropriate, or you wish to access, correct or delete it or to withdraw your consent, please contact the Organization. You may also contact our privacy officer as described in the Privacy Policy, and we may pass your request to the Organization and will provide the Organization with reasonable assistance in responding to it.
Rules for Staff
If you are a Staff member, in addition to the other provisions of these Terms, you agree that you will:
- use the Platform only for the Players on the teams your Organization has assigned to you, and only for the purpose of their sport development and your Organization’s programs;
- keep your notes, ratings and comments factual, relevant to the Player’s development and respectful of the Player, remembering that content you share may be read by the Player’s family;
- not enter health, medical, family, disciplinary or other sensitive information about a Player unless your Organization has authorized it and it is necessary for the Player’s participation;
- review, and correct where necessary, every draft produced by the AI Features before you approve, publish or share it, and not approve content you have not read;
- respect each Guardian’s choice to opt a Player out of the AI Features;
- only record your own spoken feedback and that of your fellow coaches, and not use the Platform to record Players, Guardians, opposing teams, officials or members of the public, recognizing that other voices may be captured incidentally in a practice or game setting;
- treat all information about Players and Guardians as confidential, use it only through the Platform, and not copy, download, photograph or share it outside the Platform except as your Organization permits;
- comply with your Organization’s codes of conduct and policies, and complete any annual acknowledgment the Platform presents to you; and
- report to your Organization and to us any concern that information on the Platform has been accessed by someone who is not authorized as a Staff member.
If you are a Staff member, you agree and acknowledge that you are using the Platform in your capacity as an owner, manager, employee, contractor or volunteer of your Organization, and not for personal, family or household purposes.
Acceptable Use of the Platform
In using the Platform or the Website, you agree, and you represent and warrant to us and all other users, that you:
- will comply with all applicable laws, rules and regulations, including applicable privacy and anti-spam laws;
- will not use or disclose the personal information of others except as permitted by these Terms and applicable law;
- will not upload, share or create content that is unlawful, defamatory, harassing, threatening, discriminatory, sexually explicit, or that would violate a third party’s rights or give rise to civil liability;
- will not attempt to access information about any child other than your own (in the case of a Guardian) or the Players on your assigned teams (in the case of a Staff member);
- will not post, publish or otherwise make public any information from the Platform that identifies a Player, other than (in the case of a Guardian) your own child;
- will not impersonate any person or misrepresent your relationship with an Organization or a Player;
- will not attempt to circumvent, disable or interfere with any security feature of the Platform, or probe, scan or test its vulnerability without our written consent;
- will not upload any virus or other malicious code, use any automated means (such as bots or scrapers) to access the Platform or the Website, or enter into the Platform (including in any note, recording or other content submitted to the AI Features) any text, instruction or prompt that is designed to manipulate, override or interfere with the AI Features or their underlying models, or to extract their instructions or configuration or any information about another person; and
- will not copy, translate, reverse engineer, decompile, disassemble, modify or create derivative works based on the Platform or its underlying software.
Without limiting any other rights or remedies we may have, we may suspend or remove any user we reasonably believe has violated these Terms. We may log internet protocol (“IP”) addresses, sign-in attempts and device information to protect the security of the Platform and monitor compliance with these Terms, as described in the Privacy Policy.
Use of AI
The AI Features rely on artificial intelligence and machine learning services provided by third-party service providers. You acknowledge and agree that:
- AI Features are drafting tools only. Their output may be inaccurate, incomplete, attributed to the wrong player, or inappropriate in tone, and must be reviewed by a coach before it is used;
- no output of the AI Features should be shared with a Guardian or included in an evaluation until a coach has reviewed and approved it, and every decision about a Player is made by the Organization and its coaches, not by the Platform;
- information submitted to the AI Features is processed by our service providers, as described in the Privacy Policy; and
- AI Features and related third-party providers, may be updated, modified or discontinued at any time as the Platform evolves.
Content on the Platform
Notes, evaluations, recordings, summaries and other content entered into the Platform by an Organization and its Staff (“Organization Content”) belong to the Organization, and we claim no ownership of them. The views expressed in Organization Content are those of the Organization and its coaches, not of Player Vector. We may remove, or disable access to, any Organization Content that we reasonably believe is unlawful or breaches these Terms or the Enterprise Agreement, but we have no obligation to monitor or review Organization Content.
If you are a Staff member, you represent and warrant that you have the right to enter the Organization Content you add to the Platform, and you grant us a non-exclusive, royalty-free licence to host, store, process and display it as necessary to operate the Platform for your Organization, in accordance with the Enterprise Agreement and the Privacy Policy.
If you send us any ideas or suggestions about the Platform (“Feedback”), we may use them for any purpose without any obligation of confidentiality or compensation to you.
Acceptance of Risk and Disclaimers
THE PLATFORM, THE AI FEATURES AND THE WEBSITE ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLAYER VECTOR MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE PLATFORM, THE AI FEATURES, THE WEBSITE OR ANY CONTENT ON THEM, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR FREEDOM FROM ERROR, BIAS OR HALLUCINATION. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE MAKE NO REPRESENTATION AS TO ITS UPTIME.
Organization Content reflects the observations and opinions of the Organization’s coaches. We are not responsible for any evaluation, note or decision of an Organization or its coaches.
Without limiting any other provision of these Terms, you agree that we shall not be responsible for any damages or loss arising from the acts or omissions of an Organization, its Staff, other users of the Platform, or our third-party service providers, including hosting, email delivery, payment processing, address lookup, speech-to-text and AI service providers.
Limitation of our Liability
YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR OFFICERS, DIRECTORS, SHAREHOLDERS, LICENSORS OR EMPLOYEES (THE “PLAYER VECTOR PARTIES”) BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, HOWSOEVER CAUSED, INCLUDING BY NEGLIGENCE OR OTHERWISE, REGARDLESS OF LEGAL THEORY AND WHETHER OR NOT WE HAVE BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT TO THE EXTENT ARISING FROM OUR FRAUD, WILFUL MISCONDUCT OR GROSS NEGLIGENCE, YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE PLAYER VECTOR PARTIES TO YOU, AS AN INDIVIDUAL USER, FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM OR THE WEBSITE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100). THIS LIMIT APPLIES TO CLAIMS BY A STAFF MEMBER PERSONALLY; CLAIMS BY OR ON BEHALF OF THE ORGANIZATION ARE GOVERNED BY THE ENTERPRISE AGREEMENT.
YOU AGREE AND ACKNOWLEDGE THAT WE WOULD NOT GRANT ACCESS TO THE PLATFORM WITHOUT THESE LIMITATIONS ON OUR LIABILITY.
Indemnification
You agree to indemnify the Player Vector Parties and to defend and hold each of them harmless from any claim made against any of them by a third party, and any resulting damages, losses and liabilities (including reasonable legal fees), to the extent the claim arises from (i) your breach of these Terms or any policy incorporated by reference; or (ii) your violation of any third-party right or applicable law.
You agree that any provision of these Terms in which you covenant or which obligates you to limit the liability of, hold harmless or indemnify any person or entity who is not a party to these Terms (such as Player Vector’s directors, officers, shareholders, employees, licensors, contractors and others) is accepted by Player Vector as agent and trustee for each such third party. Player Vector declares itself trustee of such covenants and obligations for each such third party, and they may be enforced by Player Vector on behalf of any such third party.
Proprietary Rights
All rights, title and interest in and to the Platform, the Website and all underlying software, designs and content (other than Organization Content) are and will remain the exclusive property of Player Vector Inc. and our licensors, and are protected by copyright and other laws of Canada and other countries. You are not permitted to use any trademark or trade name of Player Vector Inc., including our logo, without our express written permission.
Third-Party Services and Linked Sites
The Platform relies on third-party services, including hosting, database, email delivery, payment processing, address lookup, speech-to-text and AI service providers, which are listed in the Privacy Policy. To provide the Platform, we transmit information, including personal information, to those providers.
Internet links found on the Platform or the Website are not an endorsement, and we are not responsible for the content, products or services of any linked website. You access those websites at your own risk.
Extraordinary Events / Force Majeure
You agree and acknowledge that extraordinary events outside of our control may impact the functionality, availability and/or uptime of the Platform, including, without limitation: (1) acts of God, flood, fire, lightning, disaster, earthquakes or storms; (2) actions of military or civil authorities, war, political disturbance or terrorism; (3) civil disturbance; (4) acts or restraints of a governmental body or authority; (5) unusual delay or failure by telecommunications carriers; (6) sabotage, vandalism, riot, strike or lockout; (7) unavailability of labour, contractors, equipment, utilities, networks or facilities; (8) outbreaks of disease or public health orders; (9) cyberattack, malware, discovery of cyber-vulnerabilities, or a denial of service attack; (10) hardware, software, networking or data centre issues, including failures of our hosting, email, speech-to-text or AI service providers; or (11) any other event that could prevent or materially affect the functioning of the Platform. In addition to all other provisions of these Terms which limit our liability, you agree that we are not liable to you for any damages you may suffer as a result of such an event.
Termination
Your access to the Platform may end in accordance with the Organization’s Enterprise Agreement, or when the Organization ends your access or removes your email address. In addition, we may terminate or suspend your access at any time (i) upon thirty (30) days’ notice to you, or (ii) immediately if we reasonably believe you are in breach of these Terms, or that your access places a Player or another user’s information at risk. Termination does not affect the provisions of these Terms which by their nature or express language survive, including those concerning limitations of liability, proprietary rights, indemnification, governing law and dispute resolution.
Governing Law and Jurisdiction
These Terms, all documents incorporated by reference and your relationship with us shall be governed by, construed and enforced in accordance with the laws of the Province of Ontario, Canada and any Canadian federal laws applicable therein, without regard to conflict-of-law principles. You and we irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute arising out of or relating to these Terms, the Platform or the Website, including the Small Claims Court for claims within its monetary jurisdiction.
The parties expressly agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
General
Severability. If any provision of these Terms (or part thereof) is found to be unlawful, void or unenforceable, that provision or part shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
No Construction Against Drafter. If an ambiguity or question of intent arises with respect to any provision of these Terms, the Terms shall be construed as if drafted jointly by the parties and no presumption or burden of proof will arise favouring or disfavouring either party by virtue of authorship.
Assignment. These Terms shall enure to the benefit of and be binding upon the parties and their respective successors and permitted assigns. You may not assign these Terms. We may assign these Terms to any successor to all or substantially all of our business or the Platform, provided the successor agrees to be bound by them.
Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
New Features. Any new features we make available on the Platform shall be subject to these Terms.
Entire Agreement. These Terms, the Privacy Policy and all documents incorporated by reference form the entire agreement between you and us relating to their subject matter. If you are a Staff member and there is a conflict between these Terms and your Organization’s Enterprise Agreement, the Enterprise Agreement prevails as between us and the Organization.
